About Sharon AISharon AI is an Australian sovereign Neocloud and NVIDIA Cloud Partner, delivering large-scale GPU compute platforms for enterprise, research and government customers. We design, build and operate high-performance AI infrastructure, enabling organisations to train, deploy and scale AI, machine learning and HPC workloads securely on Australian soil.
As we continue to grow, we're looking for an experienced Deputy General Counsel (Commercial & Contracts) to lead our commercial legal function and provide pragmatic, business-focused legal advice across the full contract lifecycle. Reporting to the Chief Legal Officer, you'll work closely with Sales, Procurement, Finance and technical teams to support Sharon AI's continued growth across AI infrastructure and data centre operations. This is a hands-on role suited to a lawyer who is comfortable operating without a large legal team, building scalable processes and templates, and partnering closely with commercial and technical stakeholders in a fast-growing, technically complex environment.
The RoleThis is a permanent full-time leadership role responsible for drafting, reviewing and negotiating Sharon AI's commercial agreements, including customer, supplier, partner, hosting, colocation, hardware and technology contracts.
You'll act as the primary legal advisor to the Sales and Commercial teams throughout the deal lifecycle, helping the business move quickly while identifying and managing legal and commercial risk. You'll also build scalable contracting processes, templates and playbooks, manage external counsel and provide strategic commercial legal support to the CLO, Board and executive team.
Key ResponsibilitiesDraft, review and negotiate a broad range of commercial agreements, including customer MSAs, colocation and hosting agreements, hardware/GPU supply and procurement contracts, NDAs, advisor engagement terms and vendor/partner agreementsAct as the primary legal point of contact for Sales and Commercial teams, providing timely and practical advice throughout the deal lifecycleDevelop, maintain and continuously improve standard contract templates, playbooks and negotiation guardrailsIdentify, assess and advise on legal and commercial risks relating to liability, indemnity, intellectual property, data protection, export controls and other regulatory considerationsPartner with Finance and Procurement teams on supplier and vendor contracts, including hardware, colocation and cloud services agreementsSupport data privacy and information security compliance, including data processing terms and customer-facing commitmentsSupport the CLO in providing legal advice to the Board and executive team on contractual and commercial mattersOwn contract lifecycle management, including accurate record-keeping, proactive renewal management and reporting on contract status and riskAdvise on intellectual property matters relating to software licensing, OEM/technology partnerships and IP ownershipMonitor legal and regulatory developments affecting the AI infrastructure and data centre industry, including export controls, data sovereignty and privacy lawsSupport the resolution of contract disputes and escalations while protecting Sharon AI's commercial interests and reputationManage external counsel engagement, budgets and output across commercial legal mattersMentor direct reports or paralegal support as the legal function grows
Skills & ExperienceWe're looking for an experienced commercial lawyer who combines strong technical legal expertise with commercial judgement and the ability to operate effectively in a fast-moving technology environment. You'll ideally bring:Bachelor of Laws (LLB) or Juris Doctor (JD) from an accredited institutionAdmission to practice law in Australia, or another jurisdiction in which Sharon AI operates, with a current and unrestricted practising certificateExpert-level commercial contract drafting and negotiation experience across complex, high-value agreementsStrong commercial judgement, with the ability to balance legal risk against business objectives without unnecessarily slowing dealsExcellent stakeholder management and influencing skills, with the ability to build credibility with Sales, executives and external counterpartiesStrong communication skills, with the ability to translate complex legal concepts into clear, actionable guidance for non-lawyersUnderstanding of, or strong aptitude for, AI infrastructure, data centre and GPU/cloud commercial modelsWorking knowledge of legal matters relating to cyber securityExperience or understanding of financing structures underpinning Neocloud commercial arrangements will be highly regardedUnderstanding of operating within a listed company environmentStrong attention to detail and accuracy, particularly when managing high deal volumes and tight deadlinesAbility to prioritise and manage multiple concurrent negotiations in a fast-paced environmentStrong problem-solving skills and sound judgement when operating in ambiguous or rapidly changing circumstancesExperience building scalable legal processes, templates, playbooks and contract lifecycle management practices
