The Opportunity

Paladin is seeking a Legal Counsel to join our Legal & Company Secretariat function on an 18-month maximum-term contract based in the Corporate Head Office in Perth. This hands-on role will provide commercially focused legal and company secretarial support across legal advisory, contracting, disputes, compliance, company secretariat, subsidiary governance, market disclosure, regulatory lodgement and corporate reporting workflows. Working closely with the Senior Legal Counsel and Manager, Company Secretariat, the role is suited to a practical, organised and commercially minded legal professional who can manage confidential information, maintain disciplined records and support a dual-listed resources company operating across multiple jurisdictions.

To be successful in the role, the following is essential:

• Bachelor of Laws or equivalent legal qualification, with a current or eligible Western Australian practising certificate, or equivalent admission/qualification suitable for the role
• 5+ years’ post-admission experience in corporate, commercial, resources, projects or listed company work
• Strong contract drafting, review and negotiation skills, including services agreements, consulting agreements, confidentiality arrangements, procurement documents and related commercial contracts
• Ability to identify legal and governance risks and propose practical, commercially aligned solutions
• Strong written communication skills, including the ability to prepare clear summaries, memos, Board/Committee materials, minutes, action registers and internal briefing notes
• Ability to manage competing priorities, work with confidential information, maintain accurate records and follow through on actions
• Sound stakeholder management skills and ability to work collaboratively with legal, company secretariat, investor and government relations, finance, risk, sustainability functions, operations and external advisers
• A demonstrated commitment to Paladin’s core values of Integrity, Respect, Courage and Community in everything you do
• A collaborative approach with a strong focus on safety, quality and continuous improvement
• Hold valid Australian work rights
• Hold, or be willing to obtain, a current National Police Clearance

Key Responsibilities

The key duties and accountabilities of this position include:

• Draft, review and assist with negotiation of commercial contracts
• Support practical and commercially focused legal advice to internal stakeholders
• Assist with legal input to corporate projects and other strategic initiatives
• Support the management of disputes, litigation, claims and regulatory matters
• Assist with Board and Committee meeting preparation, including agendas, papers, meeting packs, minutes, circular resolutions and governance calendars
• Support the preparation and lodgement of securities exchange filings, routine regulatory filings and notices
• Support management of the employee incentive programs, share registry and external stakeholder engagement processes
• Identify opportunities to improve templates, documents, workflows and filing
