About the role
We are seeking an experienced, commercially minded Senior Legal Counsel for our client who is experiencing a significant period of growth. In this hands-on role, you will support the General Counsel across a broad range of legal, transactional, governance, and regulatory matters. You will take ownership of matters, build strong stakeholder relationships, and play a key role in supervising and developing our junior legal capability.
Commercial & Transactions: Draft and negotiate complex commercial agreements, conduct legal due diligence, and support corporate transactions (M&A, capital raising, strategic partnerships).
Funds Management: Advise on AFSL obligations, managed investment schemes, fund launches, restructures, and disclosure requirements.
Governance & Compliance: Support Board and Committee processes, and partner with the Risk & Compliance team on regulatory matters (AML/CTF, privacy, DDO) and incident assessments.
Team Leadership: Supervise, mentor, and provide technical guidance to Junior Legal Counsel.
You are a pragmatic, solutions-focused lawyer who thrives in a fast-paced environment.
Essential Requirements:
Admitted legal practitioner in Australia with a current practicing certificate for Victoria.
Approximately 6–10 years' post-admission experience (PAE).
Strong financial services and funds management experience, including transaction experience.
Confidence in managing matters independently and engaging directly with senior management.
Highly Regarded:
Previous in-house legal experience within a funds management business or responsible entity.
Specific exposure to advising on AFSL obligations, MIS, DDO, AML/CTF, and Corporate Governance.
This role is based primarily in their Melbourne CBD office. They value collaboration, accessibility, and regular in-person interaction. While reasonable flexibility is available, this role is best suited to a candidate who enjoys participating in the day-to-day operations of the business at the office.
