About the role
The Opportunity
We are looking for a Director and Secretary to join our Board — someone who is not just here to govern, but to help build. This is a hands-on leadership role for someone who wants to open doors, forge connections, and play an active part in growing a community organisation that genuinely matters.
You will bring energy, initiative, and a genuine love of the outdoors. You will take ownership of workstreams, build relationships with community organisations, councils, and partners, and help Oot punch above its weight as we grow.This role is as much about making things happen as it is about governance.
What You’ll Do
As SecretaryOversee the preparation and distribution of board meeting agendas in consultation with the ChairOversee the recording and distribution of accurate minutes of board and member meetingsMaintain registers of members and directorsLodge ASIC notifications and assist with ACNC and ATO annual reportingManage governance documents and official correspondenceIssue formal notices of AGM, SGM, motions, and resolutionsSupport communication between directors, advisors, and membersCoordinate review of governance policiesRecruit, onboard, and train governance support volunteers as needed, ensuring continuity if a volunteer transitions out of the roleHold regular connect calls with governance support volunteer to provide oversight, guidance, and direction
As DirectorContribute to the governance, oversight, and strategic leadership of OotUphold the Constitution and ensure compliance with the Corporations Act 2001, ACNC Governance Standards, and other relevant lawsReview financial reports and ensure responsible use of fundsAttend and actively participate in monthly online board meetingsContribute to strategic planning and decision makingAttend a minimum of six Oot events per year, including camping trips and day events across VictoriaServe as a co-authorised signatory on Oot's bank accountBecome a member of Oot and Aboot Outdoors Ltd with a minimum membership guarantee of $10
As an Operational ContributorBuild and maintain relationships with community organisations, councils, outdoor groups, and potential partnersIdentify and pursue opportunities to grow Oot's reach, impact, and connectionsTake ownership of workstreams and drive them forward between board meetingsContribute ideas, energy, and initiative to help Oot grow
