Business & Corporate Advisory Lawyer

We are looking for a Business & Corporate Advisory Lawyer who wants to work on meaningful, high-quality commercial matters in a genuinely collaborative team known for delivering large firm expertise with a regional approach.

A lawyer working in this team would need strong commercial, corporate and advisory skills with the ability to provide practical and strategic legal advice to businesses at all stages of growth. You will work closely with Directors Amanda Tolson & Ben Gouldson who are highly respected amongst professional advisors and their clients.

Our preference is for this role to be based in Toowoomba but we will also consider candidates who prefer to work in our Brisbane or Sunshine Coast offices. Our current Business and Corporate Advisory Team and majority of our client base is situated in the Toowoomba office.

About you

We are looking for someone who has a minimum of 2 years post-admission experience, but we are more interested in how you think and how you work. Your capabilities should include:

• Advising on business structures, company establishment, partnerships, trusts and joint ventures;

• Drafting, reviewing and negotiating shareholder agreements, partnership agreements and commercial contracts;

• Assisting clients with corporate governance, Corporations Act compliance and director/shareholder issues;

• Advising on business restructures, succession planning and asset protection strategies;

• Supporting capital raising activities, investment structures and business growth initiatives;

• Conducting legal due diligence and identifying commercial and regulatory risk;

• Preparing and reviewing terms and conditions and other key commercial documentation;

• Advising on business sales, acquisitions and commercial transactions;

• Providing practical guidance on emerging legal issues including technology, privacy and AI-related business risks.

You will likely:

You will not be expected to bring in work straight away but you should have an interest in building your profile via our active marketing program, whether that is through writing, networking, presenting or simply being someone people remember.

If you already have a client or referrer base, even better.
