About The Opportunity

As the Deputy Group Company Secretary, you'll be the trusted second-in-command to the Group Company Secretary, helping deliver governance excellence across the Metcash Group.

This is far more than statutory compliance. This is a hands-on governance role suited to someone who enjoys bringing structure, discipline and practical governance support to a large and complex corporate group. You'll advise senior stakeholders, support our Board and Committees, oversee governance across a large portfolio of subsidiaries and help shape the governance frameworks that support the future of our business.

You'll also play a key role in acquisitions, restructures, entity management and strategic projects, ensuring governance remains practical, commercial and fit for purpose.

In This Role, You Will

Partner closely with the Group Company Secretary across all aspects of the Company Secretariat function. Lead governance across the broader Metcash Group, with a particular focus on subsidiary governance, entity management and governance frameworks. Support Board and Committee meetings, preparing high-quality papers, resolutions and minutes. Provide governance advice to senior leaders across the business. Support mergers, acquisitions, restructures and other strategic corporate initiatives. Drive continuous improvement across governance frameworks, systems and processes. Coach and support junior members of the Company Secretariat team while fostering a collaborative, high-performing culture.

You’ll Bring

Extensive experience within Company Secretariat, Corporate Governance or Corporate Legal functions. Experience supporting listed companies or large, complex corporate groups. Strong knowledge of the Corporations Act, ASIC requirements and ASX governance obligations. Expertise in subsidiary governance, statutory compliance and corporate record management. Confidence working with Boards, Committees, Executives and external advisers. A proactive mindset with the ability to identify governance risks, solve problems and continuously improve processes. Experience with governance systems such as Diligent and CAS360 will be highly regarded.
