Company Secretary

• Lead corporate governance for an ASX-listed industry leader
• Partner directly with the Board of Directors, CEO and Executive leadership team
• Hybrid working - Sydney CBD

We are seeking a Company Secretary to provide dedicated support to our Board and elevate its operations and effectiveness. Reporting directly to the Chief Financial Officer, you will play a critical role in ensuring the highest standards of corporate governance, compliance and integrity are maintained across our global operations.

You'll act as a key advisor to the Executive team and the primary contact for regulatory bodies like ASIC and the ASX. In addition to driving our corporate governance framework and managing global entity compliance, you will project manage key events like our Annual General Meeting.

What You’ll Be Doing:

• Plan, schedule and coordinate all Board and Committee meetings, taking accurate, high-quality minutes and maintaining a register of action items.
• Project manage the Annual General Meeting process, alongside managing share registry relationships and preparing the Corporate Governance Statement.
• Oversee the corporate secretarial function for all subsidiaries globally, ensuring local statutory compliance and integrating new entities.
• Be available for ad hoc after-hours tasks to ensure timely delivery of critical information, such as loading board papers. 
• Support the Board's oversight of risk management.

What We’re Looking For:

• Experience in an ASX-listed company as a Company Secretary, Assistant Company Secretary or Senior Secretarial Officer, with the capability to step into a broader role.
• Strong knowledge of the Corporations Act, ASX Listing Rules and corporate governance, with experience supporting Boards and Committees.
• Excellent stakeholder management skills, with the ability to build trusted relationships across Boards, Executives and key stakeholders.
• Highly organised and detail-oriented, with a hands-on approach and the ability to manage competing priorities.
• Proven ability to handle sensitive and confidential information with discretion, professionalism and sound judgement.
• Relevant qualifications in Law, Governance or a related discipline, with GIA/AICD membership and multinational experience highly regarded.
