About Boxing Australia
Boxing Australia Limited (BAL) is the national sporting organisation responsible for the governance, development and high performance of boxing in Australia. BAL is the recognised member of World Boxing for Australia and is accountable to the Australian Sports Commission (ASC) for the delivery of its Tier 2 funded programs and obligations under the ASC Sport Governance Standards.
BAL is a Company Limited by Guarantee and, in that capacity, is required under the Corporations Act 2001 (Cth) to maintain a Company Secretary. BAL is committed to upholding best-practice governance across all aspects of its operations and to meeting and, where possible, exceeding the requirements of its Tier 3 status under the ASC Sport Governance Standards.
BAL is currently investing in a comprehensive strengthening of its governance structures, policies and accountability frameworks. The Company Secretary will play a central role in supporting the Board through this period of governance renewal and beyond.
The opportunity
This opportunity suits an experienced governance or company secretarial professional who can provide practical, timely and independent support to the Board while helping BAL strengthen its governance systems, statutory compliance and member accountability.
Individuals would be expected to have relevant tertiary qualifications in law, governance, business, accounting or a related discipline and/or significant experience as a Company Secretary
Appointment will be subject to BAL’s usual probity and onboarding requirements, including verification of qualifications and experience, referee checks, a current National Police Check and confirmation of any required conflict of interest declarations.
Role Purpose
The Company Secretary supports the Boxing Australia Board to meet its legal, regulatory and governance obligations. The role is required under the Corporations Act 2001 (Cth) and is central to BAL’s governance framework, providing expert company secretarial support, statutory compliance oversight and practical governance advice to the Chair, Directors and executive leadership team.
The Company Secretary reports to the Board Chair and works closely with the Board of Directors, Board committees and the executive leadership team. The role is part-time and remunerated, and is suited to a legal, governance or company secretarial professional with experience in the not-for-profit, sporting or membership-based organisation sector.

Selection Criteria
Applications will be assessed against the following criteria. Candidates should address each criterion in their EOI submission.
Governance & company secretarial expertise
Sound working knowledge of the Corporations Act 2001 (Cth) and the obligations of company secretaries of public companies limited by guarantee. Demonstrated experience in a company secretarial, governance or legal advisory role, including preparation of Board papers, agendas and minutes, statutory lodgements and maintenance of registers. Familiarity with ASIC and, as applicable, ACNC reporting obligations.
Board support & minutes
Proven ability to manage the end-to-end Board meeting cycle, including agenda preparation, compilation and distribution of Board papers, minute-taking and follow-up on action items. Experience supporting Board committees and sub-committees. Ability to record complex governance discussions accurately, concisely and in a legally defensible manner.
Regulatory & statutory compliance
Demonstrated ability to manage an organisation's statutory compliance calendar, including ASIC filings, financial report lodgements and changes in officer details. Experience identifying and escalating changes in applicable laws, regulations and reporting obligations. Familiarity with compliance obligations of not-for-profit or membership-based organisations is desirable.
Sport governance & NSO environment
Experience with national sporting organisations, not-for-profit bodies or membership-based organisations is highly regarded. Familiarity with the ASC Sport Governance Standards, the National Integrity Framework, and/or the regulatory environment applicable to ASC-funded national sporting organisations is desirable.
Communication & professional judgement
High-level written and verbal communication skills, including the ability to produce clear, accurate and concise Board papers, minutes and governance correspondence. Demonstrated capacity to exercise sound and independent professional judgement, including on sensitive or confidential matters. Ability to brief Directors and management clearly on governance and compliance matters.
Integrity & conduct
Demonstrated commitment to the highest standards of integrity, confidentiality and ethical conduct. Sound understanding of obligations applicable in the Australian sporting environment, including in relation to conflicts of interest, safe sport and director duties. Ability to obtain a current National Police Check.
